1. Acceptance of Terms

By accessing or using Verzap ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. The Service is owned and operated by VERZAP TECHNOLOGIES LIMITED (RC 9643041), a company registered in Nigeria ("we", "us", or "our").

2. Description of Service

Verzap is an AI-powered WhatsApp automation platform that helps businesses manage customer conversations, automate responses, process orders, book appointments, and run marketing campaigns through the WhatsApp Business API.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • Each business account must represent a legitimate business entity.
  • You are responsible for all activities that occur under your account.

4. Free Trial

New accounts receive a 7-day free trial with access to Growth plan features. After the trial period ends, you must subscribe to a paid plan to continue using the Service. We may modify or discontinue the free trial at any time.

5. Subscription and Payments

  • Paid plans are billed monthly in Nigerian Naira (NGN).
  • Payments are processed securely through Paystack.
  • Subscriptions auto-renew unless cancelled before the end of the billing period.
  • Downgrades take effect at the end of the current billing period.
  • Upgrades take effect immediately upon successful payment.
  • Refunds are handled on a case-by-case basis. Contact support for refund requests.

6. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or bulk marketing without recipient consent
  • Violate WhatsApp's Terms of Service or Business Policy
  • Send illegal, fraudulent, or deceptive content
  • Impersonate another person or business
  • Distribute malware, phishing links, or harmful content
  • Harass, threaten, or abuse any person
  • Violate any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. WhatsApp Compliance

Use of the Service requires compliance with Meta's WhatsApp Business Policy and WhatsApp Commerce Policy. You are responsible for ensuring your use of the Service complies with these policies. We are not responsible for actions taken by Meta/WhatsApp against your business number.

8. AI-Generated Content

The Service uses artificial intelligence to generate responses to your customers. While we strive for accuracy, AI-generated content may occasionally be incorrect or inappropriate. You are responsible for reviewing and monitoring AI responses. You can disable AI for specific customers or switch to manual mode at any time.

9. Intellectual Property

The Service, including its design, features, and technology, is owned by Verzap. You retain ownership of your business data, customer data, and content uploaded to the platform. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Verzap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

12. Termination

You may close your account at any time through the dashboard settings. We may suspend or terminate your account for violation of these terms, non-payment, or inactivity exceeding 12 months. Upon termination, your data will be deleted in accordance with our Data Deletion Policy.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria.
